Welcome to Projectivity.ai. These Terms of Service ("Terms") govern your access to and use of the website located at https://www.projectivity.ai and our AI-driven resource management platform, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Description of Services

Projectivity provides an AI-driven resource management and workload analytics platform designed to calculate team capacity, identify workload imbalances, predict deadline risks, and enable workload rebalancing. We continuously update and refine our Services, and we reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

2. Account Registration & Responsibilities

To access certain features of the platform, you may need to register for an account or create an organizational workspace.

Account Accuracy: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
Credential Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. Notify us immediately at info@projectivity.ai if you suspect unauthorized account access.

3. Acceptable Use Policy

You agree not to misuse the Services or assist any third party in doing so. Specifically, you shall not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the platform or AI models.
Use the Services to store, transmit, or process unlawful, harmful, or fraudulent data.
Interfere with, disrupt, or gain unauthorized access to the security mechanisms, servers, or networks connected to the Services.
Sublicense, resell, rent, or lease access to the platform without express written permission from Projectivity.

4. Intellectual Property Rights

Our Rights: Projectivity and its licensors retain all rights, title, and interest in and to the Services, including all software, design elements, proprietary algorithms, trade secrets, logos, and trademarks.

Your Data: You retain all ownership rights to the project data, team inputs, and content you submit to the platform ("Customer Data"). You grant Projectivity a limited, non-exclusive license to process Customer Data solely to provide, secure, and improve the Services.

5. Subscriptions, Fees & Payments

Certain features of the Services are offered on a paid subscription basis.

Billing Terms: Subscription fees are billed in advance on a recurring monthly or annual basis depending on your plan.
Cancellations: You may cancel your subscription at any time through your billing settings. Cancellations take effect at the end of the current paid billing period.
Taxes: All fees are exclusive of applicable federal, provincial, or local taxes (including GST/HST), which will be added where required by Canadian law.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PROJECTIVITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Projectivity does not warrant that AI capacity predictions, workload insights, or automated rebalancing recommendations will be entirely error-free or uninterrupted. The platform is designed as an operational decision-support tool; final staffing decisions remain the sole responsibility of your team.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECTIVITY, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL.

PROJECTIVITY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PROJECTIVITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

We reserve the right to suspend or terminate your access to the Services at our discretion, without prior notice, if we reasonably believe you have violated these Terms. You may stop using the Services and terminate your account at any time.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Vancouver, British Columbia.

10. Changes to Terms

We may revise these Terms from time to time. If a material revision is made, we will provide reasonable notice on our website or via email prior to the new terms taking effect. Continued use of the Services after revisions become effective constitutes acceptance of the updated Terms.
